Welcome to FREE Nigeria. By using our website (our "Website"), you're agreeing to these Terms of Service. These terms create a legal agreement between you and FREE Nigeria, including our parent organization, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors (together, our "Protected Parties"). Please read them carefully, and if you don't agree with them, please don't use our Website.

1. Our Services

We offer services designed to provide information and resources. To maintain and improve our services, we may need to make changes or updates from time to time. Like most online services, we provide our services "as is" and can't guarantee they'll always be available or error-free.

While we welcome visitors from around the world, our Digital Properties are primarily designed for and directed at users in the United States, Nigeria, the United Kingdom, and Canada. By accessing our Digital Properties:

3. Important Legal Information

4. Dispute Resolution and Arbitration

By using our Digital Properties, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Digital Properties will be resolved exclusively through binding arbitration, rather than in court. The arbitration will be conducted by a single arbitrator through JAMS (www.jamsadr.com) under its applicable rules in New York County, New York. If for any reason this arbitration agreement is found to be unenforceable, you agree that any such disputes shall be brought exclusively in the state and/or federal courts located in New York County (Manhattan) in the Southern District of New York.

You agree that:

• All claims must be brought in your individual capacity, not as a class action or other representative proceeding
• The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation or enforceability of these terms
• The arbitration will be conducted in English
• Any claim must be filed within one year after it arose or be permanently barred
• For users outside the United States, this arbitration agreement applies to the extent permitted by your local law

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction in New York County, New York, to maintain the status quo pending arbitration.

5. Governing Law and Jurisdiction

These Terms and your use of our Digital Properties are governed by the laws of the State of New York, United States, without regard to conflict of law principles. This choice of law applies to the maximum extent permitted by applicable local laws. For users in the European Union, United Kingdom, Nigeria, and other jurisdictions, you retain any mandatory consumer protection rights afforded by your local law.

For users specifically within Nigeria: While the primary venue and jurisdiction for disputes remains in New York as set forth above, you expressly agree that for any dispute that must be resolved within Nigeria due to mandatory local law requirements, the exclusive venue and jurisdiction shall be within the Federal Capital Territory (FCT) of Abuja, Nigeria, and at no other location within Nigeria. This provision does not alter the applicability of the arbitration provisions above but applies only when Nigerian law mandates local jurisdiction.

6. Language

These Terms are provided in English. Translations, if available, are provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.

7. Integration with Privacy Policy

These Terms of Service and our Privacy Policy together constitute a single, integrated agreement governing your use of our Digital Properties. Your acceptance of one constitutes acceptance of both. While these Terms govern your overall use of our Digital Properties, the Privacy Policy takes precedence specifically regarding the handling of personal information.

If any portion of these Terms is found to be unenforceable, the remaining portions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
